(1) To have perpetual existence as a corporation.
(2) To sue and be sued, implead and be impleader, complain and
defend in all courts.
(3) To adopt and use and alter at will a corporate seal.
(4) Upon the consent of the Board of County Commissioners of
Carroll County (hereinafter referred to in this subtitle as the
"Board"), to appoint officers, attorneys, accountants, agents, em-
ployees and servants, to fix their compensation and to supervise
their duties.
(5) To make by-laws for the management and regulation of its
affairs.
(6) Upon the consent of the Board, to borrow money and issue
bonds, certificates or other evidence of indebtedness thereof, the
borrowing of all such money and the issuance of all such bonds being
subject to the terms, provisions and specifications hereinafter con-
tained in this subtitle.
(7) Upon the consent of the Board, to establish, extend and main-
tain water and sewerage systems and drainage facilities in Carroll
County (other than in any municipal corporation existing on the effec-
tive date of this subtitle) or AND in those areas within one mile of the
present corporate limits of any existing municipal corporation or the
corporate limits as may hereinafter be established by an existing
municipal corporation unless such water and sewerage systems and
drainage facilities are approved in accordance with Section 439C
of this subtitle.
(8) Upon consent of the Board, to enter into contracts with any
third person to effect the purposes of this subtitle, but such consent
shall not be necessary for any contract the consideration for which
is less than $1,000.00 in value, nor shall such consent be necessary
for contracts for the performance of labor in the ordinary course of
the Commission's business.
(a) The Sanitary Commission hereby created shall be under the
jurisdiction of five persons, all of whom shall be appointed by the
Board, and all of whom shall reside in Carroll County and shall be
resident taxpayers of said County and qualified voters thereof. The
members of the Commission shall receive such compensation as may
be determined by the Board from time to time. The term of the
five members shall be five years, or until their successors are ap-
pointed and have qualified, except that the first Commissioner named
by the Board shall serve for one year, the second shall serve for
two years and the third shall serve for three years, the fourth shall
serve four years and the fifth shall serve five years from the dates
of their respective appointments; and as the term of each Commis-
sioner expires, his successor shall be appointed by the Board. Any
vacancy in the membership of the Commission shall be filled by
appointment by the Board for the unexpired term.
(b) The Commission shall elect one of its members as Chairman.
Subject to the approval of the Board, the Commission shall appoint,
discharge and fix the compensation of a Secretary-Treasurer, a Chief
