file an amendment to its articles of incorporation, shall have until
said date to file such an amendment.]

[(d)] (c) Any person who violates subsection (a) of this sec-
tion shall be punished by a fine not exceeding five hundred dollars
($500.00) or by imprisonment not exceeding six months, or by both
such fine and imprisonment; and any corporation which violates said
subsection shall have its right to do business in the State revoked in a
proceeding brought in the circuit court of the county where its office
is located or in the Circuit Court of Baltimore City if its office is
located therein.

[(e)] (d) Any association [organized under this subtitle] which
shall violate any provisions of said subtitle or of the general cor-
poration law applicable to such association shall have its right to do
business in this State revoked in a proceeding brought in the circuit
court of the county where its office is located or in the Circuit Court
of Baltimore City if its office is located therein; and any foreign
corporation admitted to do business in this State upon the conditions
specified in this section which shall commit a breach of any such
condition after its admission to business in this State, shall have its
license to do business in this State revoked in a proceeding brought
in the circuit court of the county where its office is located or in the
Circuit Court of Baltimore City, if its office is located therein.

Sec. 22. And be it further enacted, That no issuance of any shares
of stock or convertible securities effected prior to June 1,1967 shall be
deemed to be invalidated or adversely affected by reason of the
failure of any corporation of this State to file a stock issuance state-
ment in accordance with the provisions of Sections 20(e) and 21 of
Article 23 of the Annotated Code of Maryland (1957 Edition)
(Chapter 135 of the Acts of 1951), or any like provision of any prior
law of this State.

Sec. 23. And be it further enacted, That this Act shall take effect
June 1, 1967; provided, however, that the provisions of Section 7 of
this Act repealing and re-enacting with amendments Section 64(a) of
Article 23 of the Annotated Code of Maryland (1957 Edition), title
"Corporations," subheading "I. Stock Corporations," subtitle "Direc-
tors and Officers," shall take effect July 1, 1968.

(Senate Bill 18)

AN ACT to add a new Article 25B to the Annotated Code of: Maryland
(1957 Edition and 1966 Supplement), to follow immediately after
Article 25A thereof, and to be under the new title "Home Rule
for Code Counties," establishing the procedure for the rights and
duties of code counties in this State under Article 11F of the
Constitution of Maryland, making provision for the powers of
code counties, including the powers and procedures concerning
creation of public debt by code counties, relating to the manner
