proceeds in whole or in part in general obligation bonds of the State
of Maryland.

(e)    To accept governmental grants from Federal, State and local
governments and instrumentalities.

(f)    To apply all monies, assets, property, or other things of
value it may receive as an incident to its operation to the general
purposes of the Commission.

(g)    To cooperate with and assist, insofar as practicable, any
agency of the State of Maryland or of any of its political sub-
divisions, and any private agency or person, in furtherance of the
purpose of the Commission.

(h) To adopt and promulgate such rules as are necessary and
proper and not inconsistent with this subtitle for the operations of
the Commission and to effectuate the purposes of the Commission.

(i) To delegate any of the powers herein conferred of a non-
policy nature to any one or more of the Commissioners or to the
Director of the Commission.

(j) To report annually to the Governor and the General Assem-
bly of the State of Maryland us to its activities during the preceding
year, together with any recommendations or requests it deems
appropriate to further the purposes of the Commission.

370.    Chairman of Commission; meetings; quorum.

The Commissioners from time to time shall elect one of their
number to serve as Chairman. The Commissioners shall meet at
places and dates to be determined by them, but not less frequently
than six times a year. The Director shall serve as secretary to the
Commission. Special meetings shall be called by the Director upon
order of the Chairman, or at the request of any three or more
Commissioners. All Commissioners shall be notified by the Director
in writing of the time and place of all meetings, at least seven days
in advance thereof; except that meetings may be held on shorter
notice if all members of the Commission agree. Four Commissioners
constitute a quorum. If at any time there is no Director of the Com-
mission, his duties and powers shall devolve upon the Chairman.

371.    Directors; officers; employees.

(a) The Commissioners may appoint from without their number
a Director of the St. Mary's City Commission, to serve as Executive
Secretary of the Commission and to direct and administer the activi-
ties of the Commission subject to the direction and control of the
Commissioners. The Director shall serve at such salary as may be
determined by the Commission. The Commission may employ other
persons at such salaries as it may determine. The Director and other
employees of the Commission are not subject to the provisions of
Article 64A of this Code, title "Merit System," and they may be
appointed and removed by the Commission from time to time. The
Director and each other officer and employee of the Commission, at
the election of each individual, may become a member of the State
Employees' Retirement System and be subject fully to the provisions
of Article 73B of this Code, title "Pensions."
