secrated church or chapel, or any other building, whether consecrated
or not, used solely for divine services, then, and in addition to the
consent of a majority of the Vestry it shall be necessary to obtain the
consent of the Bishop, acting with the advice and consent of the
Standing Committee of the Diocese.

Upon obtaining the necessary consents, the Rector, or, in the
absence of the Rector, such member of the Vestry as the Vestry shall
by resolution designate, shall have full power and authority to exe-
cute such deed or other instrument on behalf of the Vestry, for the
property to be sold, mortgaged or otherwise aliened.

And the corporate seal of the Vestry may be affixed thereto by the
Registrar, or, in the absence of the Registrar, by such member of
the Vestry as the Vestry shall by resolution designate.

This sub-section is not applicable to the Cathedral Council inas-
much as the diocesan canon relating to the Cathedral of the Diocese of
Easton provides that the Council has no control over the real
property of the Cathedral.

(f)  Right to sueliability to suit.

The Vestry of each Parish, and its successors shall be forever able
and capable in law to sue and be sued, plead and be impleaded, answer
and be answered unto, defend and be defended, in all or any court of
justice, and before all or any judge, magistrate, or other persons
whatsoever, in all and singular actions, matters and demands what-
soever now or hereafter proper under the laws of this State.

(g)   To have a common seal.

The Vestry of each Parish, and its successors, shall and may have
and use a common seal, and may alter or destroy the same or make a
new one from time to time as the Vestry may desire.

(h) Certificate of incorporationpreparation, filing and recording.

(1)  Certificate of new Parish.

The Vestry of any new Parish, when elected, shall cause a cer-
tificate to be made and signed by the Vestrymen, or a majority of
them, to be filed with and recorded by the State Tax Commission, or
its successor administrative body.

In said certificate there shall be set forth the material facts with
regard to the organization of the new Parish, stating the name there-
of, the time and authority for its creation, the name and residence
of the Vestrymen then in office, the place where the principal church
of the Parish is or shall be situated, and a statement that the cor-
poration so created shall be subject to the provisions of this sub-
heading.

(2)  Certificate of separate congregation.

The Vestry of any new Separate Congregation created pursuant to
the provisions of the law regulating the formation of religious cor-
porations generally, the union of which with the Diocese has been
accepted by the Convention of the Diocese, in addition to its original
certificate of incorporation, shall cause a supplemental certificate,
similar in every respect to the certificate required by paragraph (1)
of this sub-section, to be made, signed, filed and recorded as in said
section set forth.
