special congregational meeting by a vote of a majority of the qualified
voters present.
(3) Notice of intent to adopt or repeal.
Notice of the intent to adopt by-laws, or to amend, modify or
repeal such by-laws, contemplated by this sub-section shall be given
pursuant to the provisions of Section 288C (a) of this sub-heading or
the Parish by-laws.
(4) By-laws to be recorded.
Such by-laws when adopted and any amendment, modification or
repeal thereof, shall be recorded either in the minute book or record
of by-laws, and shall be open to inspection at all reasonable times by
any member or qualified voter of the Parish.
(f) Challenged nominations.
If, in the course of the election of any Vestryman, other officer or
delegate, the qualifications of any person for such office is challenged,
the question shall be resolved by judges selected from one of the
groups stipulated in Section 288B (d) of this sub-heading to decide
qualifications of voters.
(g) Perpetuation of continuity of the Vestry—vacancy—term of
successor.
Upon the death of any member of the Vestry, other than the
Rector, or upon the resignation, refusal to serve, or other disqualifica-
tion, of any Vestrymen, unless otherwise provided by the by-laws of
the Parish, the Vestry shall fill such vacancy by a majority vote of the
remaining Vestrymen then in office.
The successor so appointed shall serve until the term of the mem-
ber who shall have died, resigned, refused to serve, or become dis-
qualified, has expired.
(h) Vestrymen to hold office until successors are elected and
qualified.
All Vestrymen, whenever and however elected or appointed, shall
hold office until their successors are elected and have qualified.
(i) Election of lay delegates to Convention—when Vestry shall
choose delegates—may be instructed.
At the annual congregational meeting, or a special meeting called
for the purpose, unless otherwise provided by the by-laws of the
Parish, the qualified voters of the Parish, at least ten days before the
convening of the next annual Convention, shall elect from among
those so qualified to vote, such lay delegate and an alternate to the
Convention as the constitution and canons of the Diocese may provide,
the seat of which said delegate or alternate in said Convention, how-
ever, shall be subject always to the provisions of said constitution
and/or any general and diocesan canonical mandate.
If, for any reason, the qualified voters fail to elect a delegate and
alternate, or if either or both cannot serve after having been elected,
then, and in that event, the Vestry of the Parish shall have power to
choose a delegate or alternate or both, as the case may be.
The qualified voters or Vestry, as the case may be, may, or, if re-
quired by any general or diocesan canonical mandate, shall instruct
