(1)  Elect nine Vestrymen.

The adult members of the Protestant Episcopal Church, resident
within the bounds of such new Parish, who shall attend such first
meeting, shall elect nine Vestrymen from among the members of such
new Parish, who, with the prospective Rector, if there be one, shall
be deemed and considered to be the Vestry of said new Parish until
the election of their successors pursuant to law or the by-laws of the
new Parish.

(2)  Rector a member of Vestry.

The Rector of the new Parish when called shall be a member of

the Vestry.

(b) Annual congregational meeting for election of Vestrymen.

On Easter Monday of each year, or such other fixed annual date as
may be provided by the by-laws of the Parish, there shall be a con-
gregational meeting for the election of Vestrymen pursuant to the
provisions of this sub-section, notice of which said meeting shall be
given pursuant to the provisions of Section 288C (a) of this sub-
heading or the Parish by-laws, and if not then held, shall be held as
soon thereafter as possible pursuant to the provisions of sub-section
(d) of this section.

(1)  Number of Vestrymen.

Unless otherwise provided by the by-laws of the Parish pursuant
to the provisions of sub-section (e) of this section, the Vestry of a
Parish shall consist of nine members, each serving for a period of
three years, except as provided below in this sub-section.

(2)  Initial terms of service.

At the first election after June 1, 1957, the three members receiving
the highest number of votes shall serve as members of the Vestry
for a term of three years; the next three receiving the next highest
number of votes shall serve a term of two years; and the next three
members receiving the next highest number of votes shall serve a
term of one year.

(3)  Subsequent terms of service.

Thereafter, three members of the Vestry shall be elected annually
to serve for a term of three years.

(4) In case of a "tie."

If the number of votes for a member shall be the same as the num-
ber of votes for another member, then the member who has been an
enrolled member of the Parish in which the votes are cast for the
longest period of time shall be declared elected.

(5)  Eligibility for re-election.

The Vestrymen whose three-year terms shall have expired shall
not be eligible for re-election until after the expiration of at least one
year.

(6)  Rector a member of Vestry.

The Rector shall always be a member of the Vestry.
