or such other place or places as may be fixed on by their by-
laws, for the purpose of choosing a president, three managers
and a treasurer, and such other officers as may be deemed ne-
cessary, and to establish such by-laws, rules and regulations,
as shall be found convenient, provided the said by laws rules
and regulations shall not be inconsistent with the provisions of
this act nor the constitution or laws of this State, or of the

United States; and to establish from time to time the rates of

toll that shall be demanded for passing or travelling on said
road, which said rates of toll shall not be increased during the
next twelve calendar months after the same shall have been so
fixed and established.

: 6. AND BE IT ENACTED, That the president and
managers shall meet at such time and at such places as shall be
ordained by the by-laws of said company, and when met three
members with or without the president shall constitute a quo-
rum, who in the absence of the president may choose a chap-
man, and shall keep minutes of all their proceedings fairly en-
tered on a book, and a quorum being formed they shall have
full power to appoint such engineers, superintendant and gate
keepers as they shall deem necessary, and to fix their salaries
or wages, and to draw on the treasurer for all sums of money
that may have been deposited with him by the said company
their agents or servants, which said draft or drafts shall be sign-

ed by the president or chairman, and countersigned by one of

the managers.

7. And be IT ENACTED, That if the said company
shall neglect to keep the said road in good and perfect repair
for the space of ten days, and information shall be given to any
justice of the peace in the county of Baltimore, such justice
shall issue a precept to be directed to any constable, command-
ing him to summon three disinterested free holders named by
said justice in the said precept, to meet at a certain time in the
said precept to be mentioned, at the place in the said road
complained of, of which meeting notice shall be given to the
keeper of the gate nearest thereto, and the said justice shall at
such time and place on the oaths or affirmations of the said
persons, inquire whether the said road is in such good order
and repair as aforesaid, and shall cause an inquisition to be
made and certified under the hands of himself and a majority
of the said persons, and if the said road shall be found by the
said inquisition to be out of order and repair contrary to the
true intent and meaning of this act, the said justice shall there-
upon certify and send one copy of said inquisition to the chief
judge of Baltimore county court, who shall thereupon order
the gate or gates of said company to be thrown open and so re-
main until the said road is repaired and put in good and perfect
order; and during the time the gates shall remain so opened, it
shall not be lawful for the said company, their agent or toll
gatherer, to ask. demand or receive from any person travelling
on said road any toll for passing the same; and incase any

toll gatherer shall offend against the provisions herein contain-

ed he shall upon conviction forfeit and pay to the person injur-
ed a sum not exceeding fifty dollars, and not less than five dol-
lars, with costs to be recovered before a justice of the peace in
the manner small debts are recovered.
