maintenance of a seminary of learning, either a board-
ing or a day school, or both, in the discretion of the
trustees, for the instruction of females in such branches
of education as may by the trustees be deemed suitable
and proper, and for that purpose it shall be lawful for said
corporation to purchase, lease or otherwise acquire the
necessary or proper land and building, to purchase or
procure the proper furniture, books and apparatus, to
employ suitable professors, teachers, agents, and ser-
vants, and generally to do any act or thing necessary or
proper to carry into effect or promote the lawful design
and object of this corporation, as in this act set forth.

Government.

SEC. 3. And be it enacted, That the government of
the corporation shall be vested in a board of twenty-
eight trustees, eighteen of whom shall be in connection
with the Evangelical Lutheran church of the United
States; and the whole number of trustees shall be stock-
holders in this corporation, but the persons above named
shall constitute the first board of trustees, with power to
act until others are duly elected in their place, as here-
inafter provided.

Election of
Trustees.

SEC. 4. And be it enacted, That on the first Monday
of the month of January, eighteen hundred and fifty-
seven, and tri-annually on the same day thereafter there
shall be held an election for twenty-eight trustees, who
shall be elected by ballot, to serve for the term of three
years, or until their successors shall be elected; if for
any reason an election of trustees shall not be held on
the day appointed, on election shall be held as soon
thereafter as may be convenient, on notice to be given
as required in the next following section.

Right of suf-
frage.

SEC. 6. And be it enacted, That the stockholders
only who have fully paid up their stock, or such instal-
ments thereof as may have been required or called for,
shall have the right of suffrage in the election of trus-
tees; three weeks notice of the time and place of hold-
ing such election shall be given by order of the trus-
tees in the Lutheran Observer, or some other newspa-
per published in the city of Baltimore, and the majority
of votes cast at any election shall be sufficient to elect
any trustee; each share shall entitle a stockholder to a
vote for every such share.

Officers.

SEC. 6. And be it enacted, That the trustees shall
choose their own officers, and should any vacancy in
the board occur at any time they may by election sup-
ply the same.

Quorum.

SEC. 7. And be it enacted, That the trustees may be
convened at any time, at the call of the president, and
