ganization or the company, and annually thereafter,
ten days previous notice of said annual meeting of
the stockholders, shall be given in some newspaper
published in the town of Cumberland; and if any
vacancy shall occur in the presidency or directorship,
the remaining director shall fill the vacancy by the
election of a stockholder to the office.

Objects.

SEC. 4. And be it enacted, That the objects for
which the Rosehill Company is incorporated, and
which the said company are hereby authorised to effect,
are the improvement, in such manner as shall be con-
formable to the laws of this Slate, of any lands and ap-
purtenances, which belong to said company, by laying
out into lots, streets, squares, lanes and alleys, and other
divisions, any such lands in the vicinity of the town of
Cumberland, or near to any navigable waters, or rail
road, and erecting, constructing or making thereon all
such wharves, slips, depots, branch rail roads, boats,
ears, workshops, factories, warehouses, stores, dwellings
and such other buildings and improvements, as may be
found or deemed necessary, and letting, renting, leas-
ing, selling or granting on conditions, or using any por-
tion thereof for agricultural, mining or manufacturing
purposes, or constructing any house, wharf, or other
building, or improvement to be used by any mechanic
or artisan, or other person, whether in the employ of
said company or not, in carrying on any lawful trade,
business or manufacture authorised or permitted by the
laws of this State.

SEC. 5. And be it enacted, That the directors of
said corporation or a majority of them, when met as a
board, shall have full power to appoint and employ all
such officers, agents, clerks, mechanics, laborers, and ser-
vants, as they shall deem necessary to attend to and
transact, and execute the affairs and business of the com-

pany, and fix their compensation; also to contract, agree
for, purchase rent or hire, all such lands, buildings, chat-
els, materials, rights, privileges and effects whatever, as
they shall deem necessary for accomplishing the objects
of the company, as authorised by this act; and all arti-
cles manufactured under their direction, to sell or other-
wise dispose of; to call for monthly or other instalments,
from time to time of the capital stock subscribed, in
such sums as shall be necessary to effect the objects
aforesaid; to provide for declaring and paying to the
stockholders dividends of the profits which shall be
made by the said company; and provide for the manner
and evidence of the transfers of the capital stock, and
