Seal.

SEC. 5. And be it enacted, That it shall and may
be lawful for the said corporation and their successors,
to have a common seal fur their use and the same to
alter, break and renew at their pleasure, and shall have
the right to adopt such by-laws, rules and regulations,
for their government as they may deem right and proper

Proviso.

and to alter or change the same at pleasure; Provided
however, that such by-laws, rules and regulations shall
not conflict with any law now in force in this State,
and shall in general have and exercise all such rights,
privileges, franchises and immunities as are by law in-
cident or necessary to corporations of this kind.

Banking for-
bid.

SEC. 6. And be it enacted, That nothing in this
act shall be so construed as to authorise the said cor-
poration to issue any note, token, device, scrip or other
evidence, of debt to be used as currency.

AN ACT to incorporate the Winston Mining and Manu-
facturing Company.

Incorporated.

SECTION 1. Be it enacted by the General Assembly
of Maryland, That Philip Pendleton and William B.
Clarke, and the owners of the stock hereinafter autho-
rised to be created, be, and they are hereby made a
body corporate, in law and in fact, by the name of the
Winston Mining and Manufacturing company, and in
that name may purchase, have, hold, use and acquire
by any lawful means, and may receive in donation or
in trust, estate, real, personal and mixed and the same
may lease, lot, transfer, sell and convey, or otherwise
dispose of, and may sue and be sued, plead and be im-
pleaded at law and inequity, and may have and use a
common seal, and renew or alter the same at pleasure,
and may make by-laws, rules and regulations for the
better management of their affairs, the same being con-
sistent with the constitution and laws of this State and
of. the United States.
