and at all future elections the judges thereof shall be
appointed by the board of directors one month at least
before the election; and all future elections under this
act, shall be held annually on the first Monday of April
in every year; and the board of directors for the time
being shall designate the place of election, and give no-
tice thereof, by advertisement in manner as aforesaid;
and whenever a vacancy in any board of directors shall
occur, the remaining members shall supply it by an
appointment to last until the next general election, but
no person shall be eligible as a director unless he be a
stockholder, and the board of directors of this corpora-
tion shall consist of three members, and a majority of
the Board shall select a President, Secretary and Trea-
surer, and such other officers as they may deem proper,
and every new board of directors to be elected accord-
ing to the provisions of this act, shall enter upon the
duties of their office on the first Monday of May next
after their election; and the retiring board shall con-
tinue in office until the new board take their seals.

SEC. 3. And be it enacted, That immediately after
the first election for directors under this act, the said
corporation by its constituted authorities shall have full
power and lawful authority to improve the present bed
of the Hillen Road in Baltimore county, from its com-
mencement at or near the first toll gate on the Harford
Turnpike Road, to the termination thereof at Stans-
bury's Gate, with privilege to continue said road to Tow-
sontown, by any route from Stansbury's Gate, by Mc-
Adamizing the same, or by paving the same with gravel
in the manner in which the Harford Turnpike Road

in said county is gravelled, or by covering the same with
plank in a good and substantial manner, and to enable
the said corporation to execute the powers hereby ves-
ted in it, it is hereby authorised by its constituted au-
thorities, to go upon and take possession of the bed of
the said Hillen Road, and to make all contracts for ma-
terials and labour necessary for the purposes aforesaid ;

Provided however, that unless the said corporation shall
actually commence work upon the said road within
twelve months from the date of this act, and complete
the said road to Stansbury's Gate within ten years from
the date hereof, this act shall be void, reserving how-
ever, to all persons who may contract with the said cor-
poration, the right to institute and prosecute all claims
for labour or materials furnished, against the said corpo-
ration, the said forfeiture notwithstanding; and no stock-
holder in said corporation shall by reason of such for-
feiture be released from the payment of the subscription
par price of his stock subscribed or held.
