1849.

a body politic and corporate, with perpetual succes-
sion, in deed and in law, by the name and style of
the trustees of the Green Mount Academy, by which
name and style the said trustees and their successors
shall he capable in law and in equity, to hold proper-
ly, the value of which shall at no time exceed twelve
thousand dollars for the said Academy.

CHAP. 267.

SEC. 2. And be it enacted, That if a vacancy oc-
cur in the board of trustees, the same shall be filled
by the remaining trustees until the next annual elec-
tion of the same.

SEC. 3. And be it enacted, That on the first Monday
in October, or within thirty days thereafter, in every
year, an election shall be held by the qualified voters,
at the academy, which said election shall be by bal-
lot, and conducted as follows, namely: every |person
subscribing to said institution twenty-five cents or
more, shall be entitled to one vote, only the three per-
sons having a majority of the votes shall be declared
the trustees for the ensuing year; provided, that no
person but a subscriber shall be a trustee.

Proviso.

SEC. 4. And be it, enacted, That the trustees for the
said academy, shall keep or cause to be kept, a book
for the use, and as property of said corporation, in
which shall be duly entered and recorded all sub-
scriptions to and for the use of said corporate objects,
and all other proceedings of said corporation.

Duties of trus-
tees.

SEC. 5. And be it enacted, That the said trustees
and their successors, or a majority of them, shall have
full power and authority to make fundamental ordi-
nances for the government of the academy aforesaid,
and the education of youth, and to appoint such per-
son or persons as they or a majority of them may
think proper, to be a teacher or teachers of the said
academy.

laws, etc.

SEC. 6. And be it enacted, That the said trustees
and their successors, or a majority of them, shall meet
at such time as shall be appointed by their own ordi-
nances, in order to examine the progress of the stu-
dents and scholars, and to hear and determine in all
complaints and appeals, and all matters touching the
discipline of the school, and the good and wholesome
execution of their ordinances, on all which occasions
a majority at least of the trustees shall compose a quo-
rum.

SEC. 7. And be it enacted, That the said trustees
and their successors, by the name and style aforesaid,
shall have succession, and be capable in law to sue
and be sued, plead and be impleaded, answer and be
