may proceed to collect the same, or any part thereof, iff
the manner hereinafter provided.
SEC. 6. And be it enacted, That Edward Wilkins,
Joseph T. Mitchell, Josiah Ringgold, William S. Con-
stable, James B. Ricaud, John B. H. Anderson, Thomas
C. Kennard, Hugh Wallis, George W. Spencer, John
M. Comegys, William H. Blackiston and Francis L.
Wallis, are hereby created directors of the said Mutual
Protection Society, until the third Monday in September,
one thousand eight hundred and forty-seven, and until
their successors shall be elected as hereinafter provided
ibr, and such of them as shall be present at their first
meeting, shall proceed to organize the said society, by
electing a president and secretary thereof, and as soon
after as practicable, adopt a constitution and by-laws, to
provide the necessary hooks, and otherwise prepare the
said society for the transaction of business, and when so
prepared, to exercise a general superintendence of the
affairs of the society; and the board of directors above
named, and any subsequent board of directors, to be se-
lected and chosen as hereinafter provided for, shall hare
authority to fix the compensation, salary and lees of the
officers of said society, and all officers of the sociely
shall he appointed by the directors, who shall be present
at the first meeting of the board after the annual election
of directors: and in case of any vacancy or vacancies
occurring in the board of directors at any time, by death,
resignation or otherwise, the remaining directors shall
have power to fill such vacancies, and the person or per-
sons thus chosen, shall continue to act until the next an-
nual election.

President and
Secretary to
give notice.
|
SEC. 6. And be it enacted, That it shall be the duty
of the president or secietary of said society annually, to
give notice of at least two weeks, by advertisement in
some newspaper published in Kent county, or by notice
posted at such public places in the county, as he may
deem proper, of the election, which shall be held on
the third Monday ol September, in each and every year,
for twelve directors of the society who shall be members
thereof; but in case such election from any cause should
not be held on the said day, the society shall not in con-
sequence thereof be dissolved, but such election may be
held at such subsequent time as may be selected by the
directors, or a majority of them, and until such new
election the president and directors then in office shall
continue to act; and at all elections each member may
have one vote, and may vote either in person or by
proxy.
