for of the said University, and shall also elect some suita-
ble person as secretary of the board, thirteen regents shall
constitute a quorum, for the transaction of all the business
of the board, except the removal from office of the presi-
dent of said University, or of one of the regents of the
the University, or the repealing, modifying, or suspending
of the laws, rules and regulations made by the faculty of
the said University, and the said regents by a vote of
three-fourths of the whole board of regents, shall have
power for cause by them deem sufficient, to be expressed
in the vote to remove by resolution the president of the
said University, or any one of the regents from office;

provided however, that no vote shall be taken on any such
resolution for removal, until reasonable notice there-
of shall have been given to the party to be affected there-
by, and an opportunity afforded to him to make his de-
fence, the said regents shall have power to make and or-
dain such regulations and by-laws, as they shall find
necessary for the management of the affairs of the said
corporation, and the execution of the trust to them com-

SEC. 4. And be it enacted, That the said regents and
their successors, shall be and remain a corporation and
body politic, by the said name of the Newton University,
and shall and may at all times hereafter be capable in law
to have, hold, receive, take and retain to them and their
successors forever, for the use and benefit of the said Uni-
versity, property real, personal and mixed by purchase,
gift, grant, devise, bequest of, and from any person or per-
sons, bodies, corporate and politic, capable in law of
making the same; provided always, that the amount there-
of shall be so limited, as that the annual income thereof
to the said University, shall not at any time exceed the

SEC. 5. And be it enacted, That upon the death, re-
signation or removal from office of the president of the
said University, his successor shall be appointed by the

SEC. 6. And be it enacted, That the president and pro-
fessors of the said University, shall constitute the faculty
thereof, and shall have and exercise the government there-
of with the care and management of all matters and affairs
belonging thereto, and shall have power to make and
establish all such reasonable and proper laws, rules and
regulations, not inconsistent with the laws and constitu-
tion of this State, or of the United States, as may be
necessary for the government, instruction and education
