(b) Such registration shall be made by filing with the Com-
mission, together with the fees provided by law:

(1) An application for registration executed in the name
and on behalf of the corporation by an officer thereof, and
verified by such officer, setting forth the name of the corpora-
tion, the state under the laws of which it is incorporated, the
date of its incorporation, a statement that it is carrying on
business, and a brief statement of the business in which it is
engaged; and

(2) A certificate stating that such corporation is in good
standing under the laws of the state in which it is organized,
executed by the secretary of state of such state or by such
other official as may have custody of the records pertaining
to corporations.

(c) Such registration shall be effective until the close of
the calendar year in which the application for registration is
filed. A corporation which has in effect a registration of its
corporate name, may renew such registration from year to
year by filing annually, with the fees provided by law, an
application for renewal and a certificate of good standing as
required for the original registration. A renewal application
may be filed between the first day of October and the thirty-
first day of December in each year, and shall extend the regis-
tration for the following calendar year.

8. (Resident Agent and Principal Office. ) (a) Every cor-
poration of this State shall have in this State both a principal
office, and at least one resident agent who shall be either a
citizen of this State, actually residing herein, or a corporation
of this State.

(b) A corporation may DESIGNATE OR change its resi-
dent agent or its principal office in this State by filing with
the Commission a certified copy of a resolution of the board
of directors of the corporation authorizing such DESIGNA-
TION OR change. A corporation may change the post office
address of its resident agent by filing with the Commission
a statement of such change signed by the president or a vice-
president. Such DESIGNATION OR change of name or ad-
dress of a resident agent or principal office shall become
effective upon the filing of the resolution or statement with
the Commission.

9. (Powers. ) (a) Every corporation of this State shall
have the following general powers^ except where special pro-
visions of law relating to corporations of that particular class
are inconsistent herewith:
