(4) The post office address of the principal office of the
corporation in this State and the name and post office address
of the resident agent of the corporation in this State.
(5) The total number of shares of stock of all classes which
the corporation has authority to issue; the number and par
value of the shares of stock of each class or a statement that
such shares are without par value; and, in the case of shares
having par value, the aggregate par value of all such shares
of all classes.
(6) If the shares are divided into classes, a description of
each class with the preferences, conversion and other rights,
voting powers, restrictions, limitations as to dividends and
qualifications of each class.
(7) The restrictions, if any, imposed upon the transfer-
ability of shares of any class.
(8) The number of directors, which shall not be less than
three, and the names of those who shall act as such until the
first annual meeting or until their successors are duly chosen
and qualify.
(9) Any provision not inconsistent with law, which may
be desired for the purpose of defining, limiting and regulating
the powers of the corporation and of the directors and stock-
holders, or of any class of stockholders, and of holders of any
bonds, notes or other securities which the corporation may
issue.
(c) Any provision which is authorized by this Article to be
Included in the by-laws may be included in the articles of
incorporation.
5. (Corporate Name. ) (a) The name of the corporation
(1) Shall be such as to indicate that it is a corporation. This
provision shall be deemed to be complied with if the name
contains the word "corporation", "incorporated" or "limited";
or ends with an abbreviation of one of such words; or ends with
the word "company", if such word is not immediately preceded
by the word "and" or any symbol therefor.
(2) Shall not contain any word or phrase which indicates
or implies that it is organized for any purpose other than one
or more of the purposes contained in its charter.
(3) Shall not be the same as the name of any corporation
of this State, the name of any corporation registered or quali-
fied to do business in this State, or a name which is at the
time reserved or registered in the manner provided in this
Article, or so similar to any such name as to be misleading.
