said academy, and shall likewise be the judge of all
paintings; and all other specimens of the arts, whether
the same be by purchase or donation, must be approved
by the said judge before they can be received into the
said academy; the said professor of painting shall
have the right to paint, as far as he is able and capa-
ble, or cause to be painted, all such paintings as the
directors of said academy shall deem necessary to be
painted for the said academy, for which service he will
receive such compensation as the directors of the

said academy shall deem right to award; and shall,
for the services that the bye-laws of the said corpora-

tion define for the curator to perform, receive for com-
pensation, such per centum as shall be designated by
the bye-laws aforesaid, of all the revenue of the said
academy, arising from the members of the said aca-
demy, and from the admission into and use of the said
academy for any purpose whatever.

Compensation.

SEC. 5. And be it enacted, That the bye-laws of the
said corporation shall be subject to change and revi-
sion only every fifth year, at the regular annual meet-
ing of the said academy, and such change or revision
shall not be made unless by a majority of two-thirds
of the full resident members thereof.

SEC. 6. And be it enacted, That the board of direct-
ors, three of whom shall constitute a quorum, be em-
powered to fill up all vacancies which may occur in

their body during the year; to employ, compensate
and dismiss at pleasure, all agents and subordinate of-
ficers deemed by them necessary; to enter into con-
tracts, and to use therefor the name and seal, or the
name of the corporation, to make regulations for the
transaction of their business, and to repeal the same
at their discretion; to call meetings of the members as
often as they shall deem proper, to whom they shall
make report from time to time of their proceedings,
and of the affairs of said corporation, and generally
to exercise all the powers and privileges conferred on
or appertaining to the said corporation; provided, the
same be not incompatible with the ordinances passed as

provided also, that the property of the said academy
