CHAP. CXI.

An ACT to incorporate a company for the purpose of building a
bridge over the river Susquehanna.

Passed 25th of
Dec. 1808.

BE IT ENACTED, by the General Assembly of Maryland, That Tobias K. Stansbury, Lloyd Dorsey, James
Parker, Osborn Williams, John S. Belt, Jonathan Ellicott and Robert Stewart, be and they are hereby
appointed commissioners, and they, or a majority of them, are hereby required and directed, as soon as
may be after the passage of this act, to proceed to the river Susquehanna, and fix upon a site for a bridge,
at such point on said river, (at or between Havre-de-Grace and the Bald Friar Ferry, ) as to them shall
appear the most proper; and the said commissioners, or a majority of them, shall, so soon as they have
fixed upon said site, cause a survey to be made thereof, and return the same, together with their proceed-
ings, to the clerks of Harford and Caecil county courts, there to be recorded; and the said site, so fixed
upon by the said commissioners, or a majority of them, shall be the site for the said bridge; and the com-
missioners who shall act in pursuance of this law, shall receive as a compensation for their trouble four dol-
lars per day, to be paid by the president and directors herein after named.

II. AND BE IT ENACTED, That Samuel Briscoe, Thomas Kell, Joseph Townsend, James Carroll and
William Wilson, for the city and county of Baltimore, and William Wilson, John Moores, Samuel Ri-
chardson, Roger Boyce, Bennett Barnes and Samuel Jay, for Harford county, and James Sewell, Adam
Whann, William Hollingsworth, Henry W. Physic, Thomas W. Veazey and Thomas Williams, for
Caecil county, be and they are hereby appointed commissioners, with full power and authority to open, or
cause to be opened, books for receiving and entering subscriptions for raising a capital stock, not exceeding
two hundred and fifty thousand dollars, in shares of fifty dollars each, for the purpose of building a bridge
over the river Susquehanna, at such point on the said river as the commissioners herein before named shall
fix upon to be the site aforesaid.

III. AND BE IT ENACTED, That the commissioners aforesaid for the city and county of Baltimore, or
any two of mem, shall open the said books in the city of Baltimore, at some convenient place to be by them
determined, and that the three first named commissioners aforesaid, or a majority of them, for Harford
county, shall open the like books at the town of Belle-Air, and the three last named commissioners aforesaid,
or a majority of them, shall open the like books at Havre-de-Grace, in Harford county, and that the three
first named commissioners aforesaid, or a majority of them, for Caecil county, shall open the like books at
Elkton, and the three last named commissioners aforesaid, or a majority of them, shall open the like books
at the Rising Sun, in the said county; the times ana manner of receiving and entering such subscriptions,
to be fixed upon by the said boards of commissioners in their respective counties, and duly advertised in so
many news-papers as they may deem expedient, provided that the time to be fixed upon by the said boards of
commissioners for opening the said books shall be on or before the first Monday in June next, or if the site
for the said bridge shall not have been fixed upon the said first day of June, then within two ninths after
the said site shall have been fixed upon, and to continue the same by adjournments, in the same manner as
they shall deem proper, until the said capital stock, shall be subscribed tor.

opened, &c.

IV. AND BE IT ENACTED, That whenever two thousand shares of the said stock shall be subscribed for,
all persons who may then be, or thereafter may become, the actual proprietors of shares in the said capital stock,
either as subscribers for the same, or as the legal representatives, successors or assignees of such subscribers,
shall be and they are hereby made and created a body politic and corporate, by the name and style of The
President and Directors of the Susquehanna Bridge Company, and by that name may sue and be sued, plead
and be impleaded, and do and suffer all acts, matters and things, which a body politic and corporate may
lawfully do and suffer.

V. AND BE IT ENACTED. That whenever the said two thousand shares shall be subscribed for, that
then the commissioners aforesaid, or a majority of them, shall, by giving two months notice thereof in
so many news-papers as they may deem proper, call a meeting of the said stockholders, at the city of Balti-
more, for the purpose of electing from amongst the stockholders seven directors, two of whom shall be resi-
dents of Caecil county, two of Harford county, and three of Baltimore, which election shall be held, by ballot,
on the day and at the place appointed therefor by the said commissioners, from the hour of nine o'clock in
the morning until four o'clock in the evening; and the persons qualified as aforesaid, having a plurality of
all the votes taken, shall be deemed and considered directors or the said company until a new election shall
take place as herein after provided for; and the said directors, and those from time to time elected, shall and
may appoint one of their board president, and adopt and use a corporate seal of said company, and make
and adopt all by-laws, rules and ordinances, for the government and direction of said company and the affairs
thereof, as the said board may judge necessary for the carrying into effect the provisions of this law, provided
the same be not repugnant to the Iaws of this state or those of the United States.
