Insurance Company, at a general meeting called for that
purpose, have resolved to wind up the affairs of the com-
pany, and to that intent require a modification of their
charter. Therefore,
|
CHAP 21.
|
Section 1. Be it enacted by the General Assembly of
Maryland, That the said Company are hereby authorised
and empowered to wind up their affairs, for which purpose
they may exercise all the corporate powers and privileges
heretofore granted to them.

Sec. 2. And be it enacted, That the present board of
directors shall continue to act as such, through the period
required to wind up and bring the affairs of the company
to a close, and in case of the death or resignation hereafter of
any among them, the remaining directors shall be authorised
to fill the vacancy.

Sec. 3. And be it enacted, That after the said company
shall have wound up their affairs, by the distribution of the
assets in hand or otherwise, they may still proceed in their
corporate capacity to collect all debts due to them, by suit
or otherwise, and in like manner from time to time, do all
other corporate acts necessary for the proper application
and distribution of said outstanding assets, for which pur-
pose the said company shall be deemed and taken to be in
full existence.

Sec. 4. And be it enacted, That this act shall be and
continue in force until the first of January eighteen hundred
and sixty-three, and until the end of the next session of the
General Assembly, which shall happen thereafter, unless
sooner repealed; the power to do which is hereby expressly
reserved, provided that such repeal, shall not operate upon
contracts and obligations then outstanding and existing.

CHAPTER 21.
|

An act entitled an act to authorise the trustees of school
district number thirty, in Frederick County, to sell and
convey the old school house therein.
|

Section 1. Be it enacted by the General Assembly of
Maryland, That the trustees or a majority of them of the
primary school district number thirty, in Frederick county,
be and they are hereby authorised and empowered to sell
and convey the school house and lot of twenty-four square
perches, which was conveyed by Frederick Flore to John
Cronise, John Welder and Jacob Grover, in trust for a
school for the neighbourhood, by deed dated on or about
