days public notice thereof, and at such meeting the
said commissioners shall lay the subscription books
before the subscribers then and there present,
whereupon the subscribers or a majority of them,
shall elect seven directors, by ballot, to manage the
affairs of said company, which directors or a ma-
jority of them shall have power to elect a president,
either from among the directors or others, and shall
allow him such compensation for his services as
they shall deem proper, and in said election and in
all other elections by the stockholders of said com-
pany, each stockholder shall be allowed one vote
for every share of stock owned by him or her to the
extent of one hundred shares, and for every addi-
tional one hundred shares ten votes, and no person
shall be allowed to vote more than one thousand
shares of stock; the shareholders on the aforesaid
cases may vote either in person or by proxy, and
the commissioners aforesaid, or any three or more
of them, shall be the judges of the first election of
directors.

SEC. 5. And be it enacted, That the company here-
by incorporated and organized, shall have power to
make and construct a railway with single or double
tracks and sidlings, as they may deem expedient,
for the transportation of passengers by horse power
from the city of Baltimore to the village of Ellicott's
Mills, and through the same to the village of Clarks-
ville, to connect with the Baltimore city passenger
railway, upon the line of Baltimore street, in the said
city, at its western terminus, or at the intersection
of Baltimore street and Frederick avenue, but the
said company shall not be required to make and
construct the entire line of said railway before using
any part thereof, and may use and run their cars
upon any part thereof if they should find it expedi-
ent and convenient to do so before completing the
entire work.

SEC. 6. And be it enacted, That said company be
and they are hereby authorized, provided they can
obtain the assent of the Baltimore and Frederick-
town turnpike company for that purpose, which
assent the said corporation is hereby fully autho-
rized to give, to construct and establish the said
railway upon the bed of the said turnpike road,
with power also to alter the grade thereof, and they
may construct their said railway and run their cars
thereon, subject only to such regulations and con-
