1860.

water-courses, whenever the same may be required
for the safety and convenience of travelers, and said
road shall be effectually Macadamized and made
with an even surface, as far as can be done, and
so nearly level in its progress, as that it shall in no
place rise or fall more than will form an angle of
ten degrees with a horizontal line, and they shall
forever thereafter maintain and keep the said road in
good order and repair.

CHAP. 267.

SEC. 7. And be it enacted, That the president
and directors, and their successors, or a majority of
a quorum of them assembled according to the re-
quirement herein set forth, shall have full power
and authority from time to time to agree with and
compound with, accept of labor in lieu of payment
of subscription for stock, any person or persons on
behalf of said company, to make and construct
said road, culverts, bridges and ditches, and so
forth, in the manner hereinbefore directed, and to
all other things for the completion and repair of

said road; and that they may establish such rules
and regulations for conducting the business and
affairs of this corporation as they may deem neces-
sary, not inconsistent with existing laws, and ap-
point the various officers and agents they may find
necessary for the purposes aforesaid.

By-laws.

SEC. 8. And be it enacted, That the president
and directors shall have power and authority to
enforce the execution and payment of the amount
that may be due by any of the stockholders of
stock as aforesaid at such times and periods as they
shall elect by suit, summons or other lawful means,
before the Circuit court or justices of the peace out
of court, as the case may be, or they may in their
discretion, forfeit for the benefit of the corporation,
any sum or sums of money that may have been
paid by any one of said subscribers who shall fail
or refuse to pay any further instalment called for on
his, her or their stock at the time and place fixed for
such payment.

Subscriptions.

SEC. 9. And be it enacted, That if the presi-
dent and directors cannot agree with any of the
proprietors, owner or owners of any land that may
be selected by them, in widening the said road be-
yond the limits as by law now established for the
said road to pass over, or for any material, such as
stone, gravel, timber, etc., required for the pur-
