1184                      LAWS OF MARYLAND.                  [CH. 472:

hereby created a corporation by the name and title of The His-
torical Society of Cecil County and by that name shall have per-
petual succession, sue and be sued, answer and defend, in any
court of law and equity, and may adopt such by-laws, rules and
regulations as to the admission of members and the conduct of
its corporation as may be from time to time necessary and
proper as shall not be contrary to law; and may have and use
a seal and alter and change the same at pleasure, and in general
to exercise all the rights, privileges and immunities as by law,
are incident or necessary to the corporation herein constituted..

SEC. 2. And be it further enacted, That said corporation under
said name, shall be capable in law of purchasing, holding, sell-
ing, mortgaging, leasing and conveying property, real, per-
sonal or mixed, as far as shall be necessary for the purpose for
which it is incorporated.

SEC. 3. And Be it further enacted, That said corporation shall
not have any capital stock whatsoever.

SEC. 4. And be it further enacted, That said corporation shall
have the right to charge of its members a membership fee and
reasonable annual dues, which said dues, upon non-payment shall
operate to suspend such member.

SEC. 5. And be it further enacted, That in case the said cor-
poration shall become dormant, or shall go into dissolution, then
and in that event all of the historical matter, written, printed
or otherwise, collected by the corporation, shall become the prop-
erty of the State of Maryland and either be turned over by the
Governor of Maryland to the State Library or to the Historical
Society of Maryland.

SEC. 6. And be it further enacted, That the corporation shall
be managed by twelve Trustees who shall be elected by the mem-
bers of the incorporation and the incorporators herein named
shall hold a meeting for the election of members as soon as it
is convenient after this Act goes into effect.

SEC. 7. And be it further enacted, That this Act shall take
effect June 1, ' 1931.
