ton County, to be styled the "Agricultural and Mechanical As-
sociation of Washington County, " ' " be and the same are here-
by altered and amended so as to authorize and empower said
association to issue stock to the amount of seven thousand five
hundred dollars, to be divided into three hundred shares of
twenty-five dollars each, transferable only upon the books of
said corporation, either in person or by attorney, which may be
increased to any amount or amounts in excess of said sum of
seven thousand five-hundred dollars, not exceeding in the ag-
gregate, the sum of twenty thousand dollars, at such time or
times, as a majority of the stockholders may deem it advisable,
at a meeting or meetings held for that purpose, of which three
weeks' previous notice shall be given by the Board of Directors
in not less than two newspapers published in said county.
SEC. 2. And be it further enacted, That Sections 2, 3, 4,
5 and 6 of Chapter 60 of the Acts of the General Assembly of
Maryland of 1854, be and the same are hereby repealed.
Section 7. The President of said Association shall call a
special meeting of the stockholders of said Association, to be
held during the month of June, 1924, and of which at least
two weeks' previous notice shall be given by advertisement in
at least two daily newspapers published in Hagerstown, Mary-
land, at which special meeting By-Laws for said Association
shall be adopted; and thereafter no new By-Laws shall be
adopted, nor any old ones altered or amended unless at least
two weeks' previous notice of such proposed change, and of the
time and place at which the stockholders shall meet to vote on
the same, shall have been mailed to each stockholder as his
address shall appear on the books of said corporation; and at
any such meeting any stockholder shall only be entitled to vote
in the same manner and to the same extent as he is now en-
titled to vote for officers of said Association, and as defined in
Sections 2 and 2A of this Charter.
SEC. 3. And be it further enacted, That a new section be
added to Chapter 151 of the Acts of the General Assembly of
Maryland, of 1870, said new section to follow immediately
after Section 7 thereof and to be known as Section 7A, and to
read as follows:
Section 7A. The Board of Directors shall have full power
and authority to make such rules and regulations, hire and
appoint such agents and servants, and do all other such acts
and things as may be necessary for the government and con-
