of Maryland, owns and maintains a cemetery in the City of
Hagerstown which is substantially the only cemetery used for
purposes of sepulture by the citizens of Hagerstown and its
environs; and

WHEREAS, Said cemetery embraces a large acreage which
is improved by handsome buildings, covered with trees and
shrubbery, and traversed by many roadways, and for this and
other reasons requires constant and intelligent upkeep, main-
tenance and beautification; and

WHEREAS, It is believed that this work can be better accom-
plished and the interests of the community in said cemetery be
more fully safeguarded by converting said Rose Hill Ceme-
tery of Hagerstown from a stock company into a non-stock
company with perpetual succession, under the management of
a self-perpetuating Board of Trustees; now, therefore,

SECTION 1. Be it enacted be the General Assembly of Mary-
land, That "Rose Hill Cemetery of Hagerstown" is hereby au-
thorized and empowered by a vote of two-thirds of the holders
of its outstanding stock to amend its charter, secured under
the general incorporation laws of the State of Maryland and
duly recognized by Chapter 521 of the Acts of the General
Assembly of 1908, for the purpose of converting said corpo-
ration from a stock company into a non-stock company in the
manner herein set forth, and otherwise upon such terms and
conditions, not in any manner inconsistent with any provi-
sions of law, as said stockholders by the same vote may deter-
mine, such vote to be taken at a special meeting of stock-
holders called for that purpose by the Board of Directors.
At any such meeting called to consider such amendment or
amendments, the stockholders may vote either in person or
by proxy.

SEC. 2. And be it further enacted, That if the stockholders
shall, by a two-thirds vote as aforesaid, vote for said conver-
sion, then the legally elected and qualified directors of said
''Rose Hill Cemetery of Hagerstown" at the time of such con-
version shall, upon filing a certificate of amendment with the
State Tax Commission, and upon a compliance with all other
provisions of law relating thereto, be and become a body cor-
porate with perpetual succession under said name of "Rose
Hill Cemetery of Hagerstown, " and said directors and their
successors, chosen as hereinafter set forth, shall thereupon be
and become the Board of Trustees of the "Rose Hill Cemetery
