CHAP. 211.

of the company to effect the objects aforesaid, and
in payment
of the necessary expenses of the company; to provide
for declaring dividends of the profits made by the company,
and for paying the same in just proportion to the stockholders;
and generally to do or authorise all such acts, make and
lawfully [exercise] all such deeds and other writings, and make,
revise, or annul all such by-laws, ordinances, resolutions, rules
and regulations, as shall be necessary and competent to the
full and beneficial exercise of, and carrying into effect the
above enumerated powers, or for the useful and convenient
accomplishment of the object of their incorporation, and for
the exercise and use of all other powers and privileges granted
by this act, and thereby vested in the Baltimore sugar refining
company incorporated as aforesaid, for the purposes
therein mentioned; Provided always, That such by-laws,
rules and regulations, shall not be contrary to the laws of this
State, or of the United States.

Responsibilities.
|
Sec. 4. And be it enacted,
That all the joint stock, capital
funds, property and effects of the said company, shall be
answerable for all the contracts made by or for the said company,
either verbally, or in writing, with or without their corporate
seal, by any of their known officers or agents, and for
all just claims against the said company; but none of the
stockholders shall be liable in person or property, for any contracts
of or for, or any claims against ], corporation; and the
service of legal process on the president or any director,
shall be sufficient service on the company.

Sec. 5. And be it enacted,
That nothing in this act contained,
shall be construed to restrict the right of the Legislature,
which is hereby reserved in its fullest extent, to impose from
time to time, and at all times hereafter, and levy such reasonable
tax by license or otherwise upon all property, estate and
funds in which the capital stock of said company shall be invested,
in common with similar property, estate or funds of
any other company, corporation or individuals of this State.

Duration.
|
Sec. 6. And be it enacted,
That this act shall continue and
be in force until the first day of January, in the year eighteen
hundred and sixty, and until the end of the next session of
Assembly thereafter.
