subscriptions shall be closed, to certify, under their hands,
to the clerk of Frederick county court, and to the clerk of
Washington county court, the names of the subscribers, and
the number of shares subscribed by each person, to be by
said clerks respectively recorded.

CHAP. 148.

Sec. 3. And be it enacted, That the stockholders in said
company be and they are hereby created and incorporated,
as a body politic and corporate, by the name and style of
The President and Managers of the Frederick ind Hamper's
Ferry Road Company, and shall, by the said name, have
perpetual succession, with all the privileges and immunities
incident to a corporation, and shall have power to make all
such rules, regulations and by-laws, for the government of
said incorporation, as may by them be deeme:i necessary.

Sec. 4. And be it enacted, That so soon as one-half, or
any greater part of said one thousand shares shall have been
subscribed for, the commissioners for the city of Frederick
herein before named, shall, by giving twenty days public
notice, appoint a place for said subscribers to meet to orga-
nize said institution, and to choose, by plurality of votes,
by ballot, a president and eight managers, (five of whom
shall form a quorum,) a treasurer, and such other officers as
they shall deem necessary, to conduct the affairs of said com-
pany until the first Monday oi January thereafter, or until
a new election, and make such by-laws as they may deem
necessary; and on the first Monday in January in every
year, or within ten days thereafter, the said stockholders
shall meet for the purposes of choosing officers of said cor-
poration, at such place as said president and managers shall
appoint, at which meetings every subscriber or holder of a
share or shares shall be entitled to vote by himself, or his
agent or proxy, appointed by him, in writing, and acknow-
ledged before any justice of the peace of this state, or be-
fore two witnesses, and shall have as many votes as he has

shares; Provided, that such agent or proxy shall be a mem-
ber of said company, and that no share-holder shall be en-
titled to vote unless all instalments required by this act shall
have been paid; And provided further, that said treasurer,
before he shall proceed to act as such, shall give his bond
for the faithful discharge of the duties of his office, in such
penalty as said president and managers shall direct, made
payable to said president and managers, and that every per-
son elected as aforesaid shall, previously to his entering on
the duties of his office, take an oath, or affirmation, before
a justice of the peace, faithfully to discharge the duties of
said office, a certificate of which oath, or affirmation, shall
be filed by the treasurer among the papers of said company.

Proviso

Sec. 5. And be it enacted, That said company shall open
and lay out said road, according to the location aforesaid, at
least fifty feet wide, shall cause a ditch to be cut on each
