tent, or unsuited; and to appoint -another person to fill the
vacancy until the next Annual Election. They shall also watch
the expenses, and guard the funds, and do all other acts and
things which may be just, and proper, for them to do for the
interests of The Dispensary. The Board shall affix the amount
of salary to be paid to officers and employees, and shall assure
themselves, that each and all are attending to their duties sat-
isfactorily.

SEC. 8. And be it enacted, That the President or any other
three members of the Board, may direct the Secretary to call
a special meeting of the Board, at any time; and at any meet-
ing of the Board, whether regular or special, five Directors
shall be a legal quorum to exercise the powers and execute the
duties granted and required by the Charter, except the elec-
tion of officers and employees, which shall require an affirma-
tive vote of two-thirds of all the members of the Board. During
the absence of both the President and Vice-President from
any Board meeting, one of those present shall be appointed to
preside temporarily. The same rule shall be followed if the
Secretary is absent.

SEC. 9. And be it enacted, That by the acceptance of this
Amended Charter The Baltimore Eastern Dispensary agrees,
through its President and Board of Directors, that this
Amended Charter shall always be superior to any and every
conflicting By-Laws, Rule or Regulation, and also that this
Amended Charter, shall be subject to any and every financial
or other obligation devolved on the Dispensary by the original
Charter of February 19th, 1818, and by the Amendments made
thereto, in 1826 and 1830.

SEC. 10. And be it enacted, That so much of the Old Charter
as is contrary to these Amendments shall be, and is hereby
repealed.
