by him. Other meetings of stockholders may be called by the
directors or a majority of them, according to such rules as may
be adopted by the by-laws of said company, and the directors
shall meet as often as necessary for the transaction of business.

SEC. 9. And be it further enacted, That the said corpora-
tion shall, as soon as convenient after its organization, estab-
lish a principal office either in the city of Baltimore or in Balti-
more County, and change the same at pleasure, giving public
notice in some newspaper of such establishment or change.

SEC. 10. And be it further enacted, That the Charter
hereby created and all rights granted hereunder shall lapse
and become void unless the said corporation shall be organized
and shall apply for its franchises within four years from June
1, 1916.

Provided, that nothing in this Act shall be construed to
authorize the construction of any railroad passing around the
City of Baltimore, but this Act is passed and accepted by the
grantee upon the distinct understanding that the grantee, its
successors and assigns shall have no power or authority to con-
struct any railroad except one passing through, over or under
the City of Baltimore, and further that the powers hereby
granted are conditioned upon the grantee, its successors or
assigns obtaining the proper franchise from the Mayor and
City Council of Baltimore to pass through, over, or under said
City. The said Mayor and City Council of Baltimore are
hereby authorized to grant such franchise upon such terms as
to the said Mayor and City Council may seem proper, includ-
ing a provision reserving to said Mayor and City Council, at
any time after twenty-five years from the date of such fran-
chise the right to make such changes in the terms of such fran-
chise, except as to the duration thereof, as said Mayor and
City Council may deem proper. And said Mayor and City
Council are authorized in their discretion to grant such fran-
chise for such length of time as to them may seem; proper,
not exceeding 100 years, providing such franchise is applied
for and granted on or before January 1st, 1919.
