ceptance by the scholarship holders of this act as
hereinafter provided, then the Trustees of said
Seminary shall proceed to sell and convey the pro-
perty of the same, real and personal, or convey to
a Trustee or Trustees to be sold as provided in the
preceding section, the proceeds to be applied ratea-
bly to all the debts of said Seminary of whatever
kind ; with a like power in the Circuit Court of
Washington county, as a court of equity, upon re-
fusal to decree a sale of the same, upon the appli-
cation of any creditor of said Seminary holding a
claim against it exceeding the sum of two hundred

dollars ; And whereas, the charter of said Semina-
ry, passed at January session, eighteen hundred
and fifty-two, chapter one hundred and seventy-
five, as aforesaid, requires alteration in some par-
ticulars for the more ready management of its
affairs.

Trustees.

Sec. 11. And be it enacted, That so much of the
said act of incorporation as requires five members
of the Board of Trustees to be Ministers of the
Lutheran Church shall be and the same is hereby
repealed, and that in lieu thereof five persons of
the Lutheran persuasion shall be elected, whether
Ministers or not, as the voters shall determine at
each and every election ; and it shall be lawful for
five Trustees to constitute a quorum for the trans-
action of business.

Secretary and
Treasurer.

Sec. 12. And be it enacted, That.it shall be com-
petent for the Board of Trustees to unite the offices
of Secretary and Treasurer in one and the .same
person ; and that he or they may or may not be
scholarship holders as the Board making the ap-
pointment may deem proper or expedient.

Sec. 13. And be it enacted, That at all meet-
ings of the scholarship holders for the election of
Trustees, or other purposes, any of them may vote
by proxy.

Sec. 14. And be it enacted, That before this act
shall go into effect or operation the same shall be
submitted to a meeting of the scholarship holders
in said Seminary after three weeks notice pf the
time, place and object of the meeting published in
the newspapers of Hagerstown, and shall by ma-
jority of the same be accepted and adopted ; and
thereupon this act shall go into full effect and
