hibited.

Sec. 9. And be it enacted, That nothing in this
act shall be construed to authorize the said corpor-
ation to issue any note, token, device or scrip, or

shall have the power to donate two burial lots to
whoever may make a donation of lands for such
Cemetery to said corporation, and the lots thus
donated upon certificate shall be held by the same
title and subject to all the laws and regulations of
other lots and lot holders.

rectors.

Sec. 10. And be it enacted, That George Vick-
ers, Thomas W. Eliason, Samuel W. Spencer,
John S. Stam, John T. Dood and William A.
Vickers, be and they are hereby appointed the first
Board of Directors or Managers of the said cor-
poration, to hold their offices for two years or until
their successors shall be chosen, in the manner
hereinbefore provided, and that the first named in
this section shall be the President of the said com-
pany or corporation.

Vacancies-
how filled.

Sec. 11! And be it enacted, That if the corpora-
tors, or the President and Board of Managers, shall
refuse or neglect, for twelve months, to fill vacan-
cies, the Orphans' Court of Kent county, for the
time being, shall have authority to fill them ; that
this charter shall not fail because of remissness to
fill vacancies or to keep up a Board of Managers,
but appointments by the Orphans' Court shall
have the same effect as if the members were elected
or appointed according to the former provisions of
