of said company and the qualified voters of Hagerstown, to-
gether with such additional sum, as may, upon the date of the
consummation of said sale, be found to be due under the pro-
visions of Section 13 of this Act as hereinafter set forth, shall
•convey, transfer and assign to the Mayor and Council of
Hagerstown all of its real and personal property, rights, ways,
waters, streams of water, watercourses, franchises and ease-
ments as may be embraced in the valuation of said plant made
by the Public Service Commission of Maryland and in any
additional inventory of valuation which may be furnished
under the provisions of Section 13 of this Act as hereinafter
set forth; and the Mayor, by and with the consent of the Coun-
cil, shall appoint a permanent Board to be known as the "Board
of Water Commissioners, " who shall qualify as other city offi-
cers, to consist of three citizens of Hagerstown, freeholders
therein who shall hold office, each for a period of three years,
or until his successor is appointed, except that the Mayor, in
appointing the first board, shall name and designate one per-
son to serve for a term of one year, one person for a term of
two years and one person for a term of three years, and there-
after annually on or before the first day of March in each and
every year the appointment of one person shall be made for a
term of three years; said Commissioners shall be appointed at
such times and serve for such compensation and be governed
and controlled by such regulations as the Mayor and Council
may, from time to time, prescribe by ordinance agreeable to
the terms and provisions of this Act. The "Board of Water
Commissioners" shall have charge of the management of the
plant, including the employment of a superintendent, engi-
neers, clerks and such other employees as may to said Board
seem necessary, the making of necessary repairs to said plant,
changes therein, and enlargement and extensions thereof, the
fixing of all water rates, rents and charges, the collection of
said water rents and charges, the disbursement of all moneys
spent in the operation, repair, improvement and extension of
said plant, and the performance of such other duties as may be
incident to said management; all water rates, rents and charges
and all enlargements and extensions of said plant to be first
approved, however, by the Mayor and Council of Hagerstown;
and the said "Board of Water Commissioners" shall annually,
on the first day of April, make a detailed report to the said
Mayor and Council of all of their 'proceedings in connection
with the management of said plant, and of the financial and
material condition of said plant, with such suggestions and
