upon by a vote of a majority of the stock of the said corpora-
tion at the time of such increase or increases, and in case of
the failure of any of the stockholders to subscribe and pay for
their pro rata shares of said stock at the price named in said
resolution or resolutions, then the board of directors shall
have the power to sell said stock for cash to such person or
corporations as they may see fit, not, however, under the price
fixed in said resolution or resolutions.
SEC. 3. And be it further enacted. That the directors shall
be elected annually by the stockholders on the first Monday in
December, and they shall elect from their number at the first
meeting of the board after their election as prescribed by the
second section of this Act, and after all subsequent elections,
a president and such vice-president as they may see fit, and
shall have power to appoint a secretary or such assistant sec-
retary and a treasurer and such assistant treasurer, and said
secretary and treasurer may be one person, and to appoint
and employ such other officers, clerks and agents as the busi-
ness of said company from time to time require. All elections
shall be by ballot, and at such elections and all meetings of
the stockholders every stockholder shall be entitled to one vote
for every share of stock held by him, but no person shall be
eligible as director who is not a stockholder to the amount of
five shares of stock.
SEC. 4. And be it further enacted, That the said corporation
shall be and is hereby authorized, either for itself or as agent,
to buy, sell, receive and ship on consignment all fruits, vege-
tables and farm products of every kind and description, also
to buy. sell, receive and ship on consignment all fruits, vege-
tables and farm products of every kind and description, also
to buy, sell, receive, ship on consignment or manufacture crates,
baskets, boxes and other packages for the purpose of shipping
fruits, vegetables and farm products of every kind and descrip-
tion, and to manufacture ice, and to do any and all things nec-
essary for the purpose of growing and marketing fruits, vege-
tables and farm products of every kind and description, and
also manufacturing ice, baskets, boxes and other packages for
the purpose aforesaid, to buy, sell, lease or otherwise acquire
and hold real and personal property in the State of Maryland
or elsewhere, to loan and borrow money for any of the cor-
porate purposes of the said corporation, and to mortgage its
property, to execute, acknowledge and deliver all deeds, mort-
gages and other papers necessary for the transaction of its
business.
SEC. 5. And be it further enacted, That the annual election
shall be held at such time and place as may be determined
