A. Michaels, Miss Angie C. Michaels, John W. Broadwater
and Francis A. Coleman, and their associates and successors in
office be and they are hereby created a body politic and cor-
porate, by the name, title and style of the Michaels Cemetery
Association, and by that name shall have perpetual succession
shall be able and liable to sue and be sued in any court having
competent jurisdiction, and may make and use a common seal,
may make and adopt such by-laws, and shall conform to the
provisions of this Act, and shall have power to purchase and
hold not exceeding five acres of land, with authority to the said
corporation to receive gifts and bequests for the purpose of
ornamenting and improving such cemetery and grounds, and
to hold such personal property as may be requisite to carry out
the object of this Act.
SEC. 2. Be it enacted, That the affairs of the said corpora-

tion shall be conducted by a board of directors, to consist of
not less than three nor more than seven persons. The directors
shall be elected by a majority of the corporators and proprie-
tors ; the term of service of said directors shall continue one
year, or until another election ; the first election under the
provisions of this Act, shall be held on the first Friday in
May, eighteen hundred and ninety-eight, or as soon thereafter
as may be convenient; the directors thereafter shall be elected
annually, and at such time and place, and in such manner ae
the by-laws of this corporation may direct. The directors,
or a majority of them, shall have power to elect a president,
secretary and treasurer from their own body, and to fill any
vacancy that may occur ; and may require the treasurer to give
bond, if in their judgment it may seem necessary.
SEC. 3. And be it enacted, That the said board of directors

shall have power to lay out lots and assign the same to persons
becoming members of this association, (provided that the said
lots shall be free ;) to contract and purchase way or ways to
and from said cemetery.

be prescribed by the by-laws of the said association or corpo-
