meeting of the stockholders for the election of directors, and
also for the declaring of such dividends out of the profits of
the said company as the board of directors may deem proper ;
providing, that whenever the affairs of the said company, or
the interests of said company or its stockholders may in the
judgment of the president or board of directors be in jeopardy
or peril, that said president or a majority of said directors may
call a meeting of stockholders, and the holders of each share
shall have one vote for each and every share held by him, her
or them, and the majority vote of all the voters of stock so cast
shall control the such aforementioned question as may arise,
and if need be remove such directors and elect others in their
place in the discretion of the majority of said stockholders at
such meetings.

CHAP. 404.

SEC. 5. And be it enacted, That the said company shall
have power to construct, equip and operate a railroad impelled
by electricity, steam or other power as the directors may
determine, from some point in or near Frederick, in Frederick
county, through or near the village of Legore, to some point
in or near Emmitsburg in said county, and power is hereby
given said company to build the whole or any part of said
railroad so authorized as its board of directors may deem
expedient, with like power to construct such branch lines
extending through Frederick county as the said board of
directors may deem necessary and advisable, and to handle
passengers, parcels, packages and general freight over said
railroad, and to charge therefor such rates and compensation
as its board of directors may from time to time determine.

SEC. 6. And be it enacted, That the railroads to be so con-
structed shall be of single or double track, and shall have as
many sets of tracks, switches and turnouts aud branches as
the said board of directors may deem necessary, or the
majority of them or their agents may be caused to be made,
or contract with others for making said railroad bed, tracks,
switches, turnouts, trolleys, or any part thereof, including build-
ing bridges and dams, necessary warehouses, depots and stations,
and all work whatever which may be necessary to the proper
completion and working of said railroad and branches, and
may acquire any land, earth, timber, sand, stone, gravel or
other materials required for any of the purposes aforesaid, by
an agreement with the owner or owners of any land, earth,
timber, stone, gravel or other materials or any improvements
for the construction or repair or operation of said road or its
works, for the purchase or use and occupation of the same ;
and in case they do not agree, or if the owner or owners or
any of them be a feme covert, under age or non compos
