CHAP. 867.

General
meeting to be
called.

SEC. 9. And be it enacted, That as soon as one hundred
shares of the capital stock of said company shall have been
subscribed, the said commissioners, or a majority of them, shall
call a general meeting of said subscribers at such time and
place as they may appoint, and at such meeting shall deliver
said subscription books over to said subscribers there present,
or a majority of them, ehall proceed to elect twelve directors
of said company, by ballot, each shareholder having one vote
for each share he has subscribed, to manage the affairs of said
company, either from among said directors or elsewhere; and
any three of said commissioners may be by said subscribers
selected for judges of said first election of directors.

Officers to be
appointed.

SEC. 10. And be it enacted, That said president and direc-
tors, or a majority of them, may appoint all such officers,
engineers, agents and employes as they may deem necessary
for the transaction of the business of said company, fix their
duties and compensation, and the same to change, alter or
discharge at their pleasure ; tliey shall have power to pass all
by-laws necessary for exercising the powers of the company
and for carrying out the objects thereof ; they shall fix all
rates, charges and tolls upon passengers, freights and property
transported on said road or roads, make such special contracts
with other companies or corporations for the transfer of goods
or merchandise in bulk or by carload, and for transportation of
passengers or cars as the interest of the company would
indicate ; provided, said tolls are not over five cents per mile
for passengers, nor over ten cents per ton per mile for
merchandise.

Authority to
connect
with other
railroad.

SEC. 11. And be it enacted, That said corpoiation may
connect with any other railroad or transportation company
now organized, or which may be hereafter organized ; and
said company may own and operate or lease any steamboats or
steamships, or subscribe to the capital stock of an) company
owning the same, to be used wholly or partly in connection
with the business of said company.

May sell light,
electricity,
etc.

SEC. 12. And be it enacted. That said company is author-
ized and empowered to manufacture, furnish, sell and use
steam, electricity, electric power and lights in Kent and Cecil
counties of this State, and to munufacture, sell or otherwise
deal in electricity and electrical machinery and supplies, and
to use all necessary means to effect the objects of this incor-
poration ; to establish lines of electric railway conductors and
conduits in Kent and Cecil county, and to use therefor any of
the public roads, streets, alleys or highways in Kent and Cecil
counties; provided, the consent of the proper authorities hav-
ing jurisdiction over said public roads, streets, alleys or high-
