meeting by two insertions in some newspaper published in
Cecil county, and at such meeting said incorporators, or a
majority of them, shall lay the subscription books before the
subscribers then a«d there present, whereupon the subscribers
then and there present, or a majority of them, who may repre-
sent a majority of the stock so subscribed, shall elect by ballot
five or more directors, not exceeding nine, who shall be stock-
holders in said corporation, to manage the affairs of said cor-
poration; which directors, or a majority of them, shall have
power to elect a president from among their number, and in
said election, and in all other elections by the stockholders,
each shareholder shall be allowed one vote for every share
owned by him; the said incorporators, or a majority of them,
shall be judges of the first election of directors, and until
such election take place the said incorporators shall be directors
of said corporation, with full power and authority to act as
finch.

SEC. 5. And be it enacted, That the said company shall have
power to construct, equip and operate a railroad impelled by
electricity, steam or other power, as the directors may deter-
mine, from some point near the Pennsylvania line, to a point
on the Sassafras river, all in Cecil county, to haul passengers,
parcels, packages and freight over sa;d railroad, and charge
therefor such rates, as compensation therefor, as the board of
directors may, from time to time, determine.

. SEC. 6. And be it enacted, That the railroad so to be con-
structed shall be single 'or double track, and shall have as
many sets of tracks, switches and turnouts, and branches as
the said directors may deem necessary; and the said directors,
or a majority of them, or their agents, may cause to be made,
or contract with others for making said railroad tracks,
switches, turnouts, branches, power houses and trolleys, or
any part thereof, including building of bridges, necessary
warehouses, depots and stations, all work whatsoever which
may be necessary to the proper completion and working of
said railroad and branches, and may acquire land, earth, stone,
gravel or other material required for any of the purposes
aforesaid, by agreement with the owner or owners of any land,
earth, timber, gravel or other materials, or any improvements
for the construction or repair of said road or its works, for the
purchase or use or occupation of the same; and in case they
do not agree, or if the owner or owners, or any of them, be a
feme covert, under age, or non compos mentis, or out of the
county in which the property may lie, when such lands or
