mode as to said conference shall seem proper, the said number
of nine members; provided, however, that the aforesaid mem-
bers of said corporation named in this act shall continue in
office as members of said corporation until the first day of

June, 1897; and in case the place of any member of said cor-
poration shall be made vacant by death, resignation or other-
wise, before the expiration of his term, it shall be the duty of
the remaining members of said corporation at the first meeting
held, at which such vacancy shall become known, to elect some
person having aforesaid qualifications, a member of said corpo-
ration, who shall, however, hold office only for the unexpired
term of the member creating such vacancy; and if the said
Annual Conference of the Maryland district of the African
Union First Colored Methodist Protestant Church shall fail at
any annual meeting thereof to elect members of said corpora-
tion, then the said corporation shall be managed by the then
members thereof until the next meeting of the said Annual
Conference.

SEC. 7. And be it enacted, That said corporation, under its
corporate name, shall have power to take and hold by donation,
gift, grant, devise, bequest or otherwise, any property, real, per-
sonal or mixed, in the State of Maryland, or any other State
of the United States in behalf and for the benefit and use of
the Annual Conference of the Maryland district of the Afri-
can Union First Colored Methodist Protestant Church, and the
same to manage, grant, convey, pledge, lease or otherwise to
dispose of and to execute such trusts as may be confided to said
corporation, all which shall be under the supervision of the
Annual Conference of the Maryland district of the African
Union First Colored Methodist Protestant Church.

SEC. 8. And be it enacted, That the said corporation shall
also be deemed competent to receive and administer any special
benevolent trust on behalf of the African Union First Colored
Methodist Protestant Church, or any religious, charitable or
benevolent object connected with said church that may be con-
fided or entrusted to it.

Officers of
corporation

SEC. 9. And be it enacted, That the said corporation shall
have a president, a vice-president, a secretary and a treasurer,
such officers to be chosen by said corporation from their own
members as often as they may see proper, and according to rules
or by-laws to be by them prescribed; and the said corporation
shall have authority to appoint such officers, agents and servants
as shall be deemed necessary.
