and concerns of said company, each share of said
stock, upon which all instalments due have been paid,
shall entitle the holder thereof to one vote; and the
person or persons having the greatest number of votes,
shall be elected to the office designated by such votes;
and if it shall happen at any election, that two or more
persons shall have an equal number of votes, so that
no choice shall have been made as to such persons,
then the stockholders herein authorised to vote at such
elections shall proceed, by ballot, a second time, and
by a plurality of votes, determine which of the persons
so having an equal number of votes shall be the
director or president so as to complete the number
required; and in case it shall at any time happen that
an election of officers shall not be made on the day
when in pursuance of this act it ought to have been
made, the said corporation shall not for that reason or
for any non user, be deemed or taken to be dissolved,
but it shall and may be lawful on any other day within
thirty days thereafter to hold an election for officers, in
such manner as may be directed by the by-laws hereinafter
provided to be made.


     SEC. 4.  And be it enacted, That the purposes and
objects for which the Baltimore Dock company aforesaid
is incorporated, and which the said company are
hereby authorised to effect, are the improvements, in
such manner as shall be conformable to the laws of
this State, and not contrary to or inconsistent with any
of the rights or privileges of the corporation of the city
of Baltimore, or any citizen or citizens of this State or
of the United States, of any or all lands, tenements,
hereditaments and appurtenances which do, shall or
may belong to the said company, by laying out into
lots, streets, squares, lanes, alleys, and other divisions,
any such lands in the city of Baltimore, or in the vicinity
thereof, or at or near any navigable water adjacent
thereto, and erecting, constructing or making thereon,
all such wharves, railways, rail roads, buildings and
improvements as may be found or deemed necessary
to give effect to the objects and purposes of this act, and
to appropriate to public purposes, ornament, beautify and
improve any piece or parcel of the said lands, in such
way or manner as they may choose; and to sell, rent,
lease, convey, grant on condition, or otherwise dispose
of or use for building or agricultural purposes, any part,
parcel or portion of the lands so as aforesaid owned by
them, or of the buildings and improvements thereon
rected; Provided, that in laying off streets, squares,
lanes, alleys, or other divisions, no infringement be made
on the plan of the city of Baltimore as laid out by the
Object of corporation.
