SEC. 15. Be it enacted, That the owner or owners of each
share of the capital stock of this corporation may vote either
in person or by proxy, but no proxy which is dated more than
three months before the meeting at which it is offered shall be
accepted, unless such proxy shall on its face name a longer
period for which it is to remain good.
SEC. 16. Be it enacted, That the trustees shall from time to
time be authorized to determine whether and to what extent
the accounts and books of this corporation or any of them shall
be opened to inspection of the stockholders, or where same shall
be kept, and no stockholder shall have any right to inspect any
account or book or document of this corporation except as con-
ferred by law, or by consent of the owners of the majority of
the shares of the capital stock of same corporation.
SEC. 17. Be it enacted, That said corporation shall have full
authority to make by-laws for government of its business and
duties of its officers, agents and directors.
SEC. 18. Be it enacted, That the annual meeting of the
stockholders of this corporation shall be held at its principal
office in Prince George's county, Maryland, on the first Tues-
day of October of each year at 3 :30 P. M. or at any adjourn-
ment thereof. A majority of the shares of the capital stock
represented in person or by proxy shall constitute a quorum
for the proper transaction of business.
SEC. 19. Be it enacted, That said corporation shall be man-
aged the first year by five trustees, and that G. A. M. Wells, of
Hyattsville, Maryland; C. Francis Owens, of Hyattsville,
Maryland; Charles I. Wilson, Robert L. Hall and J. Dom
Bowling, of Prince George's county, are the names of the trus-
tees who will manage the concerns of said corporation for the
first year or until their successors are elected and qualify,
subject, however, to the right of increase, decrease or removal.
SEC. 20. And be it enacted, That all acts or provisions of
the Code of Public General Laws inconsistent with this act, so
far as they apply to the Capital Cemetery, in Prince George's
county, be and the same are hereby repealed.
SEC. 21. And be it enacted, That this act shall take effect
from the date of its passage.
