CHAP. 234.

purchasing, holding, improving, selling and leasing

 

lands, conveying estates, real, personal and mixed, and

 

buying, using and selling personal property, effects,

 

rights and privileges, so far as shall be necessary to

 

obtain one or more lots of ground, and the erection of

 

one or more, and not exceeding three Hotels on the

 

east side of Jones's Fall, in the city of Baltimore, with

 

proper and sufficient outhouses and every necessary ap-

 

purtenance to each, and furnishing each or any of them

 

with every proper and necessary article, to fit them

General powers

respectively for use and occupation as Hotels, and by

 

the said corporate name shall have perpetual succes-

 

sion, and may sue and be sued, plead, answer and de-

 

fend, and have and use a common seal, and the same

 

may alter and renew, and shall have, enjoy, and may

 

exercise all the powers, rights and privileges incident

 

to a corporation, as other corporate bodies have and

 

may lawfully exercise for the purposes, and in the man-

 

ner mentioned in this act, and the service of legal pro-

 

cess on the president or any director shall be sufficient

 

service on the corporation,

Annual elections

SEC. 3. And be it enacted, That there shall be an

 

annual meeting of the stockholders on the fourth Mon-

 

day in April, at such place in the city of Baltimore, as

 

the board of directors shall appoint, at which, before

 

such judges as shall have been appointed agreeably to a

 

resolution or by-law of the directors, nine directors

 

shall be elected by the stockholders present in person

or by proxy, voting by ballot, one vote for each share

 

of stock, on which all instalments due shall have been

 

paid; which shall also be the rule for voting at all

 

meetings of the stockholders for any purpose: the board

 

of directors so elected shall be stockholders, and any

 

of them on ceasing to be a stockholder, shall also cease

President

to be a director: they shall annually elect from their

 

own body, a president of the company, and may fill

 

any vacancy in the office of president or director, by

 

an appointment which shall continue to the end of the

 

year, or to the time of a new general election: all elec-

 

tions which are by this act, or shall be by any by-law

 

of the company required to be held on a particular day,

 

may be held on such subsequent day as the directors
