CHAPTER 110.

Passed Feb. 16, 1832

An act to Incorporate Boer's Chymical Works of Baltimore.

Company incor-
porated.

Section 1. Be it enacted by the General Assembly of Ma-
ryland, That William Baer, Frederick A. Schley and Mi-
chael S. Baer, and such other persons as may become
stockholders in said Baer's Chymical Works, their succes-
sors and assigns, be, and they are hereby created and made
a corporation and body politic, by the name and style of
Baer's Chymical Works, and by that name, may sue, and
be sued, plead, and be impleaded, answer and defend, and
be answered and defended, in any court of law or equity,
and to ordain and establish such by-laws, rules and regula-
tions, as shall appear necessary for conducting the concerns
of said corporation, not contrary to the laws of this state,
or of the United States, and the same to change, add to or
amend, as may appear necessary or proper, and to make,
have and use a common seal, and the same to change and
renew at pleasure; and generally, to do every other act or
thing necessary to carry into effect the provisions of this
act, and to promote the design of this corporation.

Powers granted.

Sec. 2. And be it enacted, That the said corporation are
hereby authorised and empowered to manufacture Chymi-
cal paints, medicines, and other articles of Chymical manu-
facture and preparation, to procure and purchase all arti-
cles necessary for the purposes of said corporation, to sell
and dispose of all manufactured articles; and to have, hold,
enjoy and improve, such real and personal property as may
be necessary for said works, and the same to sell and dis-
pose of, if by them deemed necessary.

Capital stock.

Sec. 3. And be it enacted, That the capital stock of said
corporation, shall not exceed the sum of three hundred
thousand dollars, to be divided into shares of one hundred
dollars each, and that three persons be appointed by said
William Baer, Frederick A, Schley and Michael Baer, or a

majority of them, commissioners for receiving subscriptions
for said stock to such amount not less than ten thousand dol-
lars as said William Baer, Frederick A. Schley and Michael
Baer, or a majority of them shall direct. And said com-
missioners or a majority of them, shall open books for re-
ceiving such subscriptions in the city of Baltimore, on or
before the first day of May next, afler giving thirty days
notice by advertisement inserted twice a week, in at least
two newspapers of that city, of the time and place, and
hours of receiving such subscriptions, and shall keep said
books open for such subscriptions, for the space of at least
fourteen days, Sundays excluded.
