AN ACT to amend an act entitled "An act to incorporate the Woodberry Manufacturing Company of Baltimore county. "

WHEREAS, by the third section of the act of incorporation of the Woodberry Manufacturing Company, it was provided that the arrangement of the business and concerns of the paid corporation should be vested in a board consisted of a president and only three directors; and,

WHEREAS, it is deemed convenient and proper that the said corporation should have power to increase the number of its directors; therefore,

SECTION 1. Be it enacted by the General Assembly of Maryland, That the Woodberry Manufacturing Company, the corporation incorporated by the act passed at January session of eighteen hundred and sixty-eight, entitled "an act to incorporate the Woodberry Manufacturing Company of Baltimore county, " be and the same is hereby authorized and empowered at any time, and from time to time hereafter, by a vote of the stockholders at a meeting called for the purpose, to increase the numbers of its directors;

provided, however, the whole number shall never exceed seven besides the president; and on the first Monday in May next succeeding any such vote so enlarging the number of directors, and annually thereafter, the stockholders in general meeting shall elect a president and such number of directors as may have been so determined on; and such board

Proviso.

|
so constituted, shall be vested with all the authority and powers by the said act of which this is an amendment, conferred upon the said board as originally constituted; and a majority of such board, whether the president be one or not, shall constitute a quorum for the transaction of business; provided, that nothing herein contained shall affect or impair the powers or authority of the now existing board of president and directors of the said corporation, until their successors shall be chosen; and provided further, that if any election under this act, or the
