(8) A majority of the directors of the Authority then in.
office shall constitute a quorum for the transaction of any
business or the exercise of any power or function of the
Authority. The Authority may delegate to one or more of
its directors, or its officers, agents and employees, such
powers and duties as it may deem proper.
5. Powers and Duties
The Authority is empowered with the following functions
and duties:
(a) To sue and be sued in its own name and plead and
be impleaded;
(b) To adopt an official seal and alter the same at its
pleasure;
(c) To adopt, promulgate, amend and repeal by-laws for
the regulation of its affairs and the conduct of its business.
Said by-laws shall be subject to the approval of the Secre-
tary of the State department which will embrace the areas
of housing, community and industrial development, if said
department is established in the State of Maryland as pre-
viously referred to.
(d) To maintain offices at such place or places as it may
determine under this Act, subject to the approval of the
Secretary of the State department which will embrace the
areas of housing, community and industrial development, if
said department is established in the State of Maryland as
previously referred to.
(e) To acquire by grant, gift, purchase, or otherwise
real, personal, or mixed property or any interest therein;
and to own, manage, operate, hold, clear, improve, and
rehabilitate, and to sell, assign, exchange, transfer, convey,
lease, mortgage, or otherwise dispose of or encumber the
same; take assignments of rentals and leases; and make and
enter into all contracts, leases, agreements, and arrange-
ments necessary or incidental to the performance of its
duties.
(f) To acquire any real property, upon making a finding
that it is necessary or convenient, for the execution or
implementation of a residential development and, upon the
approval of the local governing body and of the State Board
of Public Works, exercise the power of eminent domain in
the manner provided in Article 33A of the Code of Public
General laws of Maryland and acts amendatory thereof or
supplementary thereto.
