Election.

subscribed, and one hundred and twenty-five shares
paid in, the said Commissioners or any three of
them shall give twenty days notice to the sub-
scribers to meet at a time and place, to be fixed by
said Commissioners, for the purpose of organizing
said Company ; and the said subscribers at such
meeting shall elect a President and Directors to
manage the business of said Company for one
year or until their successors are elected and qual-
ified, and the stockholders of said Company shall
annually on the first Monday of January succeed-
ing their organization, or within sixty days there-
after, elect a President and seven Directors.

Sec. 6. And be it enacted, That the stockholders
of said Company are hereby created a body politic
and corporate, under the name and style of the
"Union Bridge Turnpike Company," and by that
name shall have perpetual succession and shall
have all the privileges and franchises of a corpora-
tion ; they may sue and be sued, make a corporate
seal and by-laws for the regulation of said Com-
pany, and that three Directors, with or without
the President, shall constitute a quorum for the
transaction of any business, and if a vacancy occur
in the Presidency a President shall be elected by
a majority of the Directors to serve until the next
election by the stockholders.

Sec. 7. And be it enacted, That the said Company
are hereby invested with all the privileges and
powers necessary for the construction for a Turn-
pike Road from the Western Maryland Railroad,
at Union Bridge, Carroll County, to Unionville,
Frederick County, also to make a branch or lateral
turnpike road in the direction of Johnsville and
Liberty to intersect the Liberty, Johnsville and
Pipe Creek Turnpike road ; provided the said
Union Bridge Turnpike Company may use the bed
of the public road or roads leading from Union
Bridge to the above named places with such diver-
gence as they may deem necessary, and said road
may be laid out thirty feet in width of which not
less than fourteen feet shall be stone or gravel.

Condemn.

Sec. 8. And be it enacted, That in case the said
Company shall not be able to agree with the owner
or owners of land over or through which said road
