CHAPTER 145.
AN ACT to Incorporate the Wanclo Company.

 

SECTION 1. Be it enacted by the General Assembly
of Maryland, That James A. Henderson, I. Free-
man Rasin, Joseph R. Golibart, James Conway,
James Horton, and such ether persons as with
them or in their place shall become stockholders in
said Corporation, their successors and assigns, be
and are hereby created a body corporate and poli-
tic, by the name and style of the "Wando Com-
pany, and by that name may sue and be sued,
answer and defend in any court of law or of equity,
and may ordain and establish such by-laws, rules

and regulations as shall appear necessary for con-
ducting the concerns of such Corporation, not con-
trary to the laws of this State or of the United
States, and the same to change, alter and amend
as they may deem proper, and may have and use
a common seal, and generally may do any act or
thing necessary or proper to carry into effect the
provisions of this Act, and to promote the designs
of the Corporation.

By-laws.

Sec. 2. And be it enacted. That the affairs of the
Corporation shall be conducted by a President and
Directors, who shall be chosen by the stockholders
from among themselves, in such manner and at such
times as the by-laws may provide, and who shall
act in their respective offices until successors
shall be chosen, and in case of a vacancy the Presi-
dent and Directors, or a majority of them being a
quorum, shall fill the same until the next general
election.

Sec. 3. And be it enacted, That the said Corpo-
ration be and is hereby empowered to purchase,
manufacture and sell all compounds used for fertil-
izing the soil, also to dig and mine for and to man-
ufacture the ingredients used in such compounds,
and to conduct such general mining, manufactur-
ing and other business as the Directors of the said
Corporation may deem proper, and to acquire,

have, hold and improve real estate or personal
property, from time to time, with the right to sell
and dispose of the same as may from time to time
be deemed expedient by the Directors of the said
Corporation.
