constitute a Board of Managers, who may hold
stated meetings to establish and put in execution,
alter or abolish such by-laws, rules and regulations
as to them seem most conducive to the interest of
the corporation; provided the same be not contrary
to the laws of the State or United States; to pur-
chase and hold a library and to purchase, receive,
hold and dispose of any other property, real or
personal, not at any time exceeding in amount ten
thousand dollars, generally to do any other matter
or thing necessary to carry into effect the objects
of the association.

Sec. 3. And be it enacted, That in case of death,
resignation, removal from the State or otherwise
ceasing or failing to act of any officer or director,
the Board of Managers may proceed to fill such
vacancy at their next regular meeting thereafter,
and the person elected shall continue in office until
the next annual election.

In case of va-
cancies.

Sec. 4. And be it enacted, That the annual pay-
ment in advance of five dollars, shall constitute the
contributor a member of the association, and the
payment of fifty dollars to the association or of
one hundred and fifty dollars to the building here-
after mentioned, shall constitute the contributor a
life member of the association.

Payments.

Sec. 5. And be it enacted, That in order to
enable the said corporation to erect a building
suitable for a reading room and library, the person
named in the first section of this Act are hereby
authorized, by themselves or by a committee to be
appointed from their number, at such times and
places, in Kent County, as they may appoint, and
on such notice as they may deem proper, to receive
subscriptions for that purpose to an amount not
exceeding three thousand dollars, to be divided
into shares of twenty-five dollars each, and the
same shall be deemed personal property, and the
said persons shall have exclusive control of the
said subscriptions, and when and as the amounts
subscribed are received and paid in, they shall
apply the same in a proper and judicious manner
to the erecting of said building.
