CHAPTER 299.

AN ACT to incorporate the "Monumental Hotel
Company."

Passed Mar,
15,1867.

SECTION 1. Be it enacted by the General Assem-
bly of Maryland, That James S. Hodges, William
T. Walters, A. S. Abell, Hugh Sisson, George S.
Brown, Wm. Keyser, John H. B. Latrobe, David
L. Bartlett, George A. Baton, George W. Gail,
Charles J. Baker and John Carroll, their succes-
sors and. assigns, be and they are hereby created a
body politic and corporate by the name of the
"Monumental Hotel Company," to have perpetual
succession, to sue and be sued, to have, use and
change at pleasure a common seal and generally
to exercise all corporate privileges as may be ne-
cessary in carrying out the object of their corpora-
tion, which is hereby declared to be the erection
of a hotel in the city of Baltimore on such site
and of such size and with such appurtenances, in-
cluding an Opera House, it' desired, as the stock-
holders of said corporation may deem proper, and
for that purpose the said corporation are hereby
authorized and empowered to purchase sucli real
estate in the city of Baltimore as may be necessary,
and should the said corporation desire to establish
a market or stock farm to facilitate the manage-
ment of the said hotel and its appurtenances they
are hereby authorized and empowered to purchase
land for that purpose outside of said city not ex-
ceeding in quanty one hundred acres.

Incorporated.

Sec. 2. And be it enacted, That the said capi-
tal stock of said corporation shall consist of twen-
ty-five thousand shares of one hundred dollars
each, which shall be considered personal estate,
each share of which shall be entitled to a vote by
the holder or a proxy, and the evidence of the
ownership and mode of transfer, which shall be
fixed by the by-laws herein provided for.

Capital stock.

Sec. 3. And be it enacted. That the corporators
herein named, or a majority, shall be Commis-
sioners to receive subscriptions to the capital stock
of said corporation, and may in the discretion of
said corporators either obtain subscriptions by per-
