and place as they may appoint, and shall give at
least ten days public notice thereof, and at such.
meeting the said Commissioners shall lay the said
subscription books before the subscribers then and
there present; whereupon the subscribers or a ma-
jority of them, shall elect seven Directors by bal-
lot, to manage the affairs of the Company, which
Directors or a majority of them shall have the
power to elect a President, cither from or among
the Directors or others, and shall allow him such
compensation for his services as they shall deem
proper, and at said election, and in all elections
by the Stockholders of said Company, each Stock-
holder shall be allowed one vote for every share of
stock owned by him or her to the extent of one
hundred shares, and for every additional one hun-
dred shares, ten votes, and no person she'll be
allowed to vote more than one thousand shares of
stock; the shareholders in the aforesaid cases may
vote either in person or by proxy, and the Com-
missioners aforesaid, or any three of them shall be
the Judges of the first election for Directors.

Authority to
construct a
railway.

Sec. 5. And be it enacted, That the Company
hereby incorporated shall have power to make and
construct a railway with single or double track
and sidelings as they may deem expedient for the
transportation of Passengers by horse power, from
Baltimore city to Hall's Springs in Baltimore
county, to connect with the Baltimore city Pas-
senger Railway, at the corner of Chew street and
Central Avenue, or such other place or places as
may be deemed most advantageous to the interest
of the Company, and in like manner to connect
with the terminus of the said Baltimore city Pas-
senger Railway, on the Bel Air road, at or near
the Baltimore Cemetery by a road 'to be laid from
said terminus to Hall's Springs on the Bel Air
road, or adjacent thereto, and crossing from the
Bel Air road to the Baltimore and Harford Turn-
pike, at a point near to Herring run; but the said
Company shall not be required to make and con-
struct the entire line of said railway, before using
any part thereof, and may use and run cars upon
any part thereof; if they should find it expedient
and convenient to do so, before. completing the
entire work.
