Mr. Thomas, Chairman Committee on Ways and Means,
made the following report:
The Committee on Ways and Means, to whom was referred
a resolution offered by Mr. Hammond in relation to the mode
of appointing, in future, the President and Directors of the
Chesapeake and Ohio Canal Company, have had the same
under consideration and beg leave to report:
The general object of the resolution is entirely approved
by the Committee, and in their opinion, should be carried
into effect by adequate legislation. In considering the sub-
ject, however, the committee came to the conclusion that
whilst justice to the Bondholders whose rights and interests
have been too long neglected, requires a substantial compli-
ance with their wishes, and that the work in whose tolls and
revenues they have, for the present, an exclusive and para-
mount interest, should be administered by agents in whose
selection they should have an influence proportioned to that
interest, yet there are certain rights of the State and claims
of the public which ought at the same time to be carefully
guarded.
With a view to the attainment of both these objects, your
Committee instead of reporting the resolution, beg leave to
submit the accompanying Act and recommend its passage.

the Board of Public Works to vote the stock of the State in
the Chesapeake and Ohio Canal Company for a President and
five Directors upon the nomination of the holders of preferred
bonds of said Company ;
