LAWS OF MARYLAND.

and in case the place of any member of said corporation shall'
be made vacant by death, resignation, or otherwise, before
the expiration of his term, it shall be the duty of the remain-
ing members of said corporation, at the first meeting held at
which such vacancy shall become known, to elect some person
having aforesaid qualifications a member of said corporation,
who shall, however, hold office only for the unexpired term
of the member creating vacancy; and if the said Baltimore
Annual Conference of the Colored Methodist Protestant
Church shall fail at any meeting thereof to elect members of
said corporation, then the said corporation shall be managed
by the members thereof until the next meeting of the said
Annual Conference.

Bequests
Sanctioned.

SEC. 7. And be it enacted, That the said corporation under
its corporate name shall have power to take and hold by do-
nation, gift, grant, devise, bequest or otherwise, any property,
real, personal or mixed, in the State of Maryland, or in any
other State of the United States, in behalf and for the benefit
and use of the said Baltimore Annual Conference of the Col-
ored Methodist Protestant Church, and the same to manage, '

Management
of.

grant, convey, pledge, lease, or otherwise to dispose of, and to
execute such trust as may be confided to the said corporation,
all of which shall be under the supervision of the Balti-
more Annual Conference of the Colored Methodist Protest-
ant Church.

Competent to
receive special
benevolent
trust, etc.

SEC. 8. And be it enacted, That the said corporation shall
also be deemed competent to receive and administer any
special benevolent trust on behalf of the Baltimore Annual
Conference of the Colored Methodist Protestant Church, or
any religious, charitable or benevolent object connected with
said church that may be confided or entrusted to it.

Officers of
corporation.

SEC. 9. And be it enacted, That the said corporation shall
have a president, a vice-president, a secretary and a treasurer,
such officers to be chosen by the said corporation from their
own members as often as they may see proper, and according
to rules or by-laws to be by them prescribed; and the said
corporation shall have authority to appoint such officers,
agents and servants as shall be deemed necessary.

Quorum.

SEC. 10. And be it enacted, That five members of said
corporation shall be a sufficient number to transact business
thereof and make by -laws, rules and regulations.

Shall keep
record, etc.

SEC. 11. And be it enacted, That the said corporation shall
cause fair and regular entries of its proceedings, and a just
account of all receipts and disbursements to be kept in a book
